This Terms of Service Agreement ("Agreement") is a binding contract between you, the individual user of the FSTVL Festival Planner platform ("User" or "you"), and FSTVL Festival Planner, a company organized and existing under the laws of the State of California, with principal operations located in San Francisco, California ("FSTVL, " "we," "our," or "us"). This Agreement governs your access to and use of the FSTVL Festival Planner web application, its features, content, services, and related infrastructure (collectively, the "Service").
By creating an account, registering, or otherwise using the Service, you acknowledge and agree that you have read, understood, and accepted the terms and conditions set forth in this Agreement, together with the Privacy Policy incorporated by reference. If you do not agree with these terms, you must not register for or use the Service.

Purpose of the Service

FSTVL Festival Planner is a consumer-facing digital platform developed for music festival attendees, music enthusiasts, and related communities. The Service enables users to discover upcoming festivals, review lineups, manage personal artist preferences, and generate intelligent, personalized schedules that optimize the festival experience. The Service aggregates and enriches data from multiple third-party sources, including but not limited to Clashfinder, Spotify, Google Maps, and OpenAI, and provides users with tools to organize, personalize, and share their festival plans.
The vision of the Service is to be the premier digital platform for festival planning. By using the Service, you acknowledge that festival and artist data may not be complete, up-to-date, or accurate, as the Service relies in part on information supplied by external sources over which FSTVL has no control.

Eligibility and Access

You may only use the Service if you are at least thirteen (13) years old or the minimum digital age of consent in your jurisdiction, whichever is greater. If you are under the age of eighteen (18), you may only use the Service under the supervision of a parent or legal guardian who accepts this Agreement on your behalf. By creating an account, you represent that you meet the eligibility requirements and that you have the legal capacity to enter into this Agreement.
The Service may be offered under different access models, including open public registration, invite-only registration restricted by allowlisted email addresses or domains, or private access limited to administrative use. FSTVL reserves the right to modify, restrict, or revoke access at its sole discretion.

Account Registration and Security

To use certain features of the Service, you must register for an account. Registration may be completed through email and password authentication or via third-party authentication services such as Google OAuth. When registering, you must provide accurate, current, and complete information, and you agree to keep this information updated at all times.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account. FSTVL disclaims liability for any loss or damage resulting from unauthorized access to your account caused by your failure to safeguard your credentials. You agree to notify us immediately of any suspected unauthorized use.
FSTVL reserves the right to suspend or terminate accounts where inaccurate or misleading information has been provided, or where there has been a violation of this Agreement.

Description of Features

The Service provides, among other features, the ability to browse festivals by name, year, or location; to save festivals as personal favorites; to review lineups and artist information enriched with third-party data; to set artist preferences with a three-tier classification system ("Not Interested," "Maybe," and "Love"); and to generate personalized daily schedules that prioritize artists based on User preferences.
Schedules generated by the Service are algorithmic in nature, taking into account preference tiers, maximum artist limits per day, conflict detection, and buffer times between performances. Users may review, adjust, and export schedules, and the Service may offer features to share schedules with others. Users acknowledge that generated schedules are recommendations and do not guarantee actual festival performance times or availability.
The Service includes support for offline functionality through local data caching and synchronization, enabling Users to access schedule information while offline, with updates occurring upon reconnection.
Administrative features may also be provided, including dashboards for system administrators or festival administrators to manage data, oversee user access, and monitor platform operations.

Data Collection and Processing

By registering for and using the Service, you acknowledge and consent to the collection and processing of certain personal data as described in the FSTVL Privacy Policy. Such data includes, but is not limited to, email addresses, display names, optional profile photographs, biographies, festival preferences, artist preferences, interaction history, and schedules generated through the Service.
FSTVL stores this data primarily through Firebase Firestore, Firebase Authentication, and Firebase Storage, and processes it using both proprietary services and third-party integrations. The Service collects analytics data related to usage, error events, and performance metrics. By using the Service, you consent to such data collection, processing, and storage, and you acknowledge that some data may be processed outside your jurisdiction, including in the United States.
FSTVL employs commercially reasonable measures to safeguard user data, including authentication requirements, access control, and isolation of user data by account. However, you acknowledge that no system can guarantee absolute security, and FSTVL does not warrant against unauthorized access or data loss.

Intellectual Property

All rights, title, and interest in and to the Service, including but not limited to its design, software, interface, algorithms, content, trademarks, and branding, are the exclusive property of FSTVL and its licensors. Festival names, artist names, and related marks remain the property of their respective owners and are displayed within the Service solely for informational and descriptive purposes.
You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Service in accordance with this Agreement. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Service, except as expressly permitted by this Agreement or by applicable law notwithstanding contractual limitations.

Prohibited Conduct

You agree not to use the Service for any unlawful purpose or in any manner that violates this Agreement. Prohibited conduct includes, but is not limited to, uploading or transmitting harmful code, attempting to gain unauthorized access to systems or accounts, interfering with the proper operation of the Service, or using the Service for any commercial purpose without prior written consent.
You further agree not to upload content that is defamatory, obscene, offensive, or otherwise inappropriate, nor to impersonate another person or misrepresent your affiliation with any individual or entity.

Third-Party Services

The Service depends upon and integrates with third-party services, including but not limited to Spotify APIs for artist data, Google Maps and Geocoding for venue locations, Clashfinder APIs for festival data, and OpenAI APIs for content enrichment. Your use of features powered by such services is subject to the terms and policies of those third parties.
FSTVL disclaims liability for the availability, reliability, or accuracy of third-party data and services, and you acknowledge that outages, errors, or limitations in those services may affect the functionality of FSTVL.

Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. FSTVL expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
FSTVL does not warrant that the Service will be uninterrupted, secure, or error-free, or that any defects will be corrected. FSTVL does not warrant that festival information, artist data, or schedules provided by the Service are accurate, complete, or reliable.

Limitation of Liability

To the maximum extent permitted by law, FSTVL shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of, or inability to use, the Service, including but not limited to loss of data, loss of profits, or interruptions of service, even if FSTVL has been advised of the possibility of such damages.
In no event shall FSTVL's total liability to you for all claims arising out of or relating to this Agreement exceed the amount you have paid to FSTVL, if any, for access to or use of the Service during the twelve (12) months immediately preceding the event giving rise to such claim. If you have paid nothing to FSTVL during such period, FSTVL shall have no liability to you under any circumstances.

Indemnification

You agree to indemnify, defend, and hold harmless FSTVL, its officers, directors, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of this Agreement, or your infringement of any intellectual property or other rights of any third party.

Termination

FSTVL may suspend, restrict, or terminate your account and access to the Service at any time and without notice if it believes, in its sole discretion, that you have violated this Agreement, engaged in unlawful activity, or otherwise interfered with the proper operation of the Service. Upon termination, your right to use the Service shall immediately cease, and you may lose access to any data associated with your account.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California. You hereby submit to the personal jurisdiction of such courts and waive any objection on the grounds of venue or inconvenient forum.

Changes to Terms

FSTVL reserves the right to modify or update this Agreement at any time, in its sole discretion. In the event of material changes, FSTVL will provide notice by posting the revised Agreement within the Service or by other reasonable means. Your continued use of the Service after changes become effective constitutes acceptance of the revised terms.

Severability and Waiver

If any provision of this Agreement is held to be invalid, unlawful, or unenforceable for any reason, the remaining provisions shall remain in full force and effect. No waiver of any provision of this Agreement shall constitute a waiver of any other provision, and no waiver shall be effective unless made in writing and signed by an authorized representative of FSTVL.

Entire Agreement

This Agreement, together with the Privacy Policy and any additional terms incorporated by reference, constitutes the entire agreement between you and FSTVL with respect to the subject matter herein, and supersedes any prior or contemporaneous communications or understandings.
